This Service Agreement (“Agreement”) constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“User” or “you”), and PGadmit (“Company,” “we,” “us,” or “our”), concerning your access to and use of the www.pgadmit.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

By using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms & Conditions. If you do not agree with all of these Terms & Conditions, then you are expressly prohibited from using the Service and you must discontinue use immediately.

1. Description of Service

PGadmit provides a suite of AI-powered tools and resources designed to assist students with the university application process. Our services include, but are not limited to:

• AI University Matching: Suggesting universities and programs based on the User’s academic profile, interests, and preferences.
• AI Essay Assistance: Providing tips, structure suggestions, and feedback on application essays and personal statements.
• AI Visa Guidance: Offering general information and checklists for understanding student visa application processes for various countries.
• AI Scholarship Search: Assisting users in finding potential scholarship opportunities based on provided criteria.
• AI Voice & Chat Agent:
  Providing an interactive AI-powered voice and text agent that Users can communicate with to receive information, guidance, and support related to university applications, scholarships, essay preparation, and other PGadmit services. The AI agent may deliver responses via voice, text, or both, depending on the User’s selected communication method.

2. The Role of Artificial Intelligence (AI)

2.1. AI-Powered Service: You explicitly acknowledge and agree that the Service is provided through proprietary and third-party Artificial Intelligence agents (“AI Agents”). The guidance, suggestions, and information you receive are generated by algorithms and are not provided by a human guidance counselor, admissions officer, or consultant.

2.2. Potential for Inaccuracies: AI technology is constantly evolving and is subject to limitations. The information generated by our AI Agents may contain errors, inaccuracies, omissions, or “hallucinations” (information that appears factual but is not). Data used by the AI may not be real-time, complete, or fully up-to-date.

2.3. User Responsibility for Verification: The User is solely and entirely responsible for independently verifying all information provided by the Service.

This includes, but is not limited to, university admission requirements, application deadlines, visa regulations, scholarship eligibility criteria, and factual claims made in essay suggestions. PGadmit is not liable for any consequences arising from your reliance on unverified information provided by the AI Agents.

3. User Responsibilities and Acknowledgements

• You agree to use the information provided by PGadmit as a first-draft tool and a supplementary resource, not as a definitive or final source of truth.

• You are responsible for the final content of all application materials, including essays, forms, and supporting documents.

• You agree to use the Service in a manner consistent with the academic integrity policies of all institutions to which you are applying. You are responsible for ensuring that your work is original and properly cited.

• Age & Consent: The Service may be used by individuals under the age of 18; however, if you are under the age of majority in your jurisdiction, you represent that you have obtained permission from a parent or legal guardian to use the Service. PGadmit is not intended for children under the minimum age required by applicable data-protection laws (e.g., 13 under COPPA in the United States).

4. NO GUARANTEES OR WARRANTIES

4.1. No Guarantee of Admission: PGadmit makes no representations, warranties, or guarantees, express or implied, regarding the likelihood of your admission to any university or academic program. The selection of candidates for admission is the sole and absolute discretion of the respective educational institutions.

4.2. No Guarantee of Scholarships or Financial Aid: PGadmit does not guarantee that you will be awarded any scholarship, grant, or other form of financial aid.

4.3. No Guarantee of Visa Approval: PGadmit does not guarantee that you will be granted a student visa. Visa decisions are made exclusively by the consular officers and immigration authorities of the respective governments.

4.4. “AS IS” Service: The Service is provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property. All source code, databases, functionality, software, website designs, text, and graphics (collectively, the “Content”) and the trademarks and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us. The User retains full ownership of their personal data and the final, original application materials they create.

6. Fees and Payment

Subscription Model:
Access to the Service operates on a token-based subscription model. Subscribers purchase a plan that provides a set number of tokens each Billing Cycle. Subscription fees are billed in advance on a recurring and periodic basis (“Billing Cycle”).

• Token Rollover:
  Unused tokens automatically roll over to the next Billing Cycle as long as the subscription remains active and in good standing.
• Token Forfeiture Upon Cancellation:
  If a subscription is canceled or terminated for any reason, all unused tokens will be forfeited and will no longer be accessible after the effective cancellation date.
• One-Time Fee Model:
  Certain packages or services may be offered for a one-time fee for a specific package or duration.

Refunds:
All payments are non-refundable except as required by applicable law.

7. Term and Termination

This Agreement shall remain in full force and effect while you use the Service. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in this Agreement.

8. Limitation of Liability

IN NO EVENT WILL PGADMIT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Service; (2) your breach of this Agreement; (3) any breach of your representations and warranties set forth in this Agreement; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

10. Governing Law and Dispute Resolution

This Agreement and your use of the Service are governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in [Your City, Your State/Country], and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

11. Miscellaneous

This Agreement and any policies or operating rules posted by us on the Service constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. If any provision or part of a provision of this Agreement is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
